These terms govern your use of www.flatheadforge.com (the "Site"), operated by Flathead Forge ("Flathead Forge", "we", "us"). By using the Site you accept them. If you do not accept them, please do not use the Site. Our Privacy Policy forms part of these terms.

This Site is not an offer

Nothing on this Site is an offer to sell, or a solicitation of an offer to buy, any security or investment product, and nothing here is an offer to provide investment advisory services. No such offer will be made except through definitive offering documents to persons who are qualified to receive them under applicable law, and those documents will govern in every respect.

Interests in any Flathead Forge fund are offered only in private placements to eligible investors. Nothing on the Site should be read as an indication that any fund is open, available, or accepting capital.

Not advice

The Site is published for general information about Flathead Forge and our work. It is not investment, legal, tax, accounting or other professional advice, and it takes no account of your circumstances, objectives or risk tolerance. Do not act on anything here without taking your own professional advice.

Portfolio companies and performance

References to portfolio companies describe businesses we have invested in or helped form. They are illustrative of our approach. They are not a complete list of our investments, they are not a recommendation of any company, and they should not be taken to suggest that any investment was or will be profitable. Case studies and quotations from founders describe those individuals' experience and are not representative of every founder's experience.

Past performance is not a guide to future results. Any figures on the Site relate to the past. Investments of the kind we make are illiquid, long-term and carry a risk of total loss.

Forward-looking statements

Parts of the Site describe expectations about markets, technologies and industries. Those are opinions held at the time of writing, they rest on assumptions that may prove wrong, and events may differ materially from them. We are under no obligation to update them.

What you may do with this Site

You may read the Site and share links to it. Everything on it, including text, images, logos and layout, belongs to Flathead Forge or to the companies whose marks appear, and is protected by intellectual property law. Portfolio company names and logos are the property of those companies and appear here to identify them, not to imply their endorsement of us.

You may not copy, republish, sell or systematically extract the Site's content, scrape it, use it to train a model, misrepresent its source, interfere with its operation or security, or use it in a way that breaks the law or infringes anyone's rights.

What you send us

Do not send us confidential information through the Site. The contact form and our published mailbox are not secure channels and are not covered by any non-disclosure agreement.

If you send us a business plan, a pitch, an idea or any other unsolicited material, you accept that we may already be considering something similar, that we may look at, invest in or build competing businesses, and that we take on no obligation of confidence and no obligation to compensate you. Nothing you send creates any relationship between us. We are not obliged to reply.

You confirm that anything you send is yours to send, is accurate, and does not infringe anyone else's rights.

Links to other sites

The Site links to portfolio company sites, press coverage and social media. We do not control those sites, we do not endorse everything on them, and we are not responsible for them. Your use of them is governed by their own terms.

Availability

We may change, suspend or withdraw the Site, or any part of it, at any time and without notice. We do not promise that it will always be available or free of errors.

Disclaimers

The Site is provided "as is" and "as available". To the fullest extent the law allows, we disclaim all warranties, express or implied, including any warranty of merchantability, fitness for a particular purpose, non-infringement, and any warranty that the Site's content is accurate, complete or current.

Limitation of liability

To the fullest extent the law allows, Flathead Forge and its partners, employees and agents will not be liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of profits, revenue, data or goodwill, arising out of your use of the Site, however caused. Nothing in these terms excludes any liability that cannot lawfully be excluded.

Indemnity

You agree to indemnify Flathead Forge against claims, losses and reasonable costs arising from your breach of these terms or your misuse of the Site.

Governing law

These terms are governed by the laws of the State of Texas, United States, without regard to its conflict of laws rules, and the courts of Harris County, Texas have exclusive jurisdiction over any dispute arising from them.

Changes

We may revise these terms. The effective date above changes when we do, and continuing to use the Site means you accept the revision.
